烟草欧亿·体育（中国）有限公司在我国作为一个垄断欧亿·体育（中国）有限公司，为我国国民经济增长注入了新的活力，构成了
国民经济发展的重要支撑之一。基于烟草企业在我国分布广泛、规模庞大等特点，所以在
企业治理方面可谓困难重重，继而推进烟草企业治理结构的创新和完善志在必得，意义重
大。传统的企业经营管理理论在一定程度上会制约烟草企业治理结构改革，很难打造企业
治理结构升级版。在创新驱动发展战略盛行的当下，传统经营管理理念与之背道而驰，不
符合烟草企业的特征

这种形式的客观存在必然需要重视基于共同治理的烟草企业治理研究。利益相关者
共同治理理论是一种契约理论，认为企业长期发展有赖于企业各利益相关者共同治理，企
业相应的就需要为其创造更多价值，这种理论在本质上是改进升华传统的经营管理理论，
是企业各利益相关者所达成的一致协议。国民经济发展需要结合实践，研究烟草企业治理
体系和利益相关者治理理论，利用利益相关者理论对烟草企业治理结构加以完善改进，提
升烟草企业的核心竞争力

ABSTRACT
As a monopoly industry in our country,The tobacco industry has injected new vitality for
our economic growth and at the same time constitutes one of the important support of national
economic development.Basing on the tobacco enterp rises in China is widely distributed and
large-scale , it is dif ficult to manage in terms of corporate governance and then it has great
significance to prom ote innovation and im prove the corporate governance structure of the
tobacco.Traditional business management theory, restricts construction of tobacco corporate
governance to a certain extent, it is difficult to make the corporate governance structure upgrade.
With innovation-driven development strategy prevailing,the traditional management philosophy
runs counter,so it does not meet the characteristics of the tobacco companies.In this situation,
the management of the tobacco companies which are at the view of Governance Governance
Perspective is very important.S takeholders governance theory is the improvement and
sublimation of the trad itional management philosophy,the theory considers that a long-term
development can not separate from the common governance,companies create greater value for
all stakeholders, it is an agreem ent of contract theory for all stakeholders essentially .Studying
on the combination of stakeholder Governan ce theory and tobacco corporate governance
system, combining with the actual situation and from the theoretical perspective of stakeholders,
it plays a greater role for the national economy with improving the governance structure and the
competitiveness of the tobacco companies.
