摘要
随着市场经济的不断发展,规范运作、提升公司治理水平成为每一个企业越来越
关注的问题。企业的发展,资金是关键,资本市场为实体经济提供了得天独厚的融资平
台,同时也使企业的股东结构更加复杂。股东结构的复杂化导致股东大会成为企业决策
的常设机构的决策成本过高,由此,股东会将一部分决策权力授权给董事会,由董事会
对企业的日常重要事项进行决策。于是,股东结构和董事会结构成为现代企业公司治理
的两大核心问题。同时,公司管理层与董事会之间的委托代理关系也带来了相应的委托
代理问题。究竟怎样的股东结构更适合企业的发展,怎样的董事会结构及其内部管理模
式才最有利于解决董事会于管理层之间的委托代理问题,本论文将以云南省一家制药上
市企业K公司为例,探讨公司治理结构与企业发展之间的联系。

ABSTRACT
As the continually development of marketing economy, enterprises began to pay more
attention to standard operation and make higher level of corporate governance. Capital is a
key of the development of enterprises, and the capital market has create a wonderful financing
channel for manufacturing industry. At the same time, the capital market has also make the
structure of shareholders more complex. Which kind of shareholder structure is more
appropriate for enterprise and which controlling system can control the risk better This thesis
would research on the relation between the system of corporate governance and the
development of enterprise taking K enterprise, a pharmaceutical corporation in Yunnan
province for example.
