摘 要
中国航空工业规划设计研究院是国家甲级设计院，具有50 年航空工业规划
设计的经验，参与了中国航空工业从无到有，从小到大，从弱到强的发展历程，
同时充分发挥航空工业设计技术的优势，承接了大量的民用建筑和民用工业项
目。但面对加入世贸组织和国内市场竞争的严峻形势，还缺乏足够的市场竞争
能力，缺乏总体清晰的经营理念和战略，使航设院的生存与发展受到很大制约
现有的经营管理，技术管理，项目管理效率较低，与现代企业制度的要求相距
甚远，需要用科学的理论与方法进行大幅度的改造。进行体制改革，建立现代
企业制度，进而实现业务延伸，走国际型工程公司的发展道路是我国勘察设计
单位在市场条件下的发展方向。勘察设计欧亿·体育（中国）有限公司改革的理论已经成熟，国家也为
此出台许多政策性文件，勘察设计单位的改革实践也为这项工作进行了有益的
探索，积累了宝贵的经验
中国航空工业规划设计研究院的发展思路是进行改企建制。坚持以市场为
导向，以建立现代企业制度，增强市场竞争力为目标，以现有资产为依托，明
确企业市场定位，完成资产结构的调整，完成公司制改造，组建有限责任公司，
建立产权清晰、权责明确、政企分开、管理科学的现代企业制度，并以工程设
计为起点，向工程咨询、采购、施工管理、开车指导等业务领域延伸，面向国
内国际两个市场，积极探索设计、采购、建设为一体的工程总承包工作方式，
逐步迈向国际型工程公司
根据中国航空工业规划设计研究院的具体情况，参照勘察设计欧亿·体育（中国）有限公司先改企
建制，进而建成国际型工程公司的道路，可采用整体改制的方式。按现代企业
制度的要求，建立适应社会主义市场经济运行环境的权责明确、运转协调、制
约有效的企业法人治理结构，成为自主经营、自负盈亏、自我约束、自我发展
的法人实体和市场主体，实现国有净资产的保值增值，参与国内国际市场竞争
本文对中国航空工业规划设计研究院整体改制问题进行了探讨，设计了改
制方案及方案实施办法，并对职工持股方式、产权多元化、内部管理制度、国
际型工程公司的发展道路及历史遗留等问题进行了深入的研究，期望对航设院
的具体改企建制工作能有所帮助

Abstract
China Aeronautical Project and Design Institute (CAPDI) has national class A design
institute qualification. It has been engaged in aeronautical project and design for forty
years, has taken part in developing progress of growing out of nothing, from weak to
strong, from small to big. At the same time, it has brought the advantage of aeronautical
technology into full play, succeeded a large number of civil architecture and civil industry
project. Facing to severe situation of entering WTO and domestic market competition, it
lacks enough competitive ability and clear operating idea and strategy. So, The living and
developing of CAPDI has been restricted. The efficiency of present operation management,
technical management and project management is comparatively low. It is far away from
requirement of modern enterprise system, it needs to be reconstructed by scientific theory
and method. It is the developing direction of our organization of prospecting or designing
under market-oriented conditions to reform structure, establish modern enterprise system,
and then accomplish business extension to run the developing road of international
engineering company. The theory of reforming line of business of prospecting or
designing is already mature. The government has also issued many policies for this. The
reforming practice of some organization of prospecting or designing is useful for this too,
and has accumulated valuable experience.
The strategy of CAPDI is to become enterprise and establish modern enterprise
system. We have kept regarding market oriented, establishing modern enterprise system,
strengthening market competitive ability as our target. We rely on existing capital assets
and definite the enterprises market orientation and complete the adjustment of structure of
capital assets and finish the reconstruction of company and organize Limited Liability
Company. We will establish the modern enterprise system of clear property right, definite
right or duty, divide government and enterprise and scientific management, and we will
stretch our business field into engineering consultation, purchase, construction
management and guidance of setting machine in operation form doing engineering design.
Facing to both internal and international market, we should positively explore the method
of general contracting (design, purchase, construction), gradually run into international
engineering company.
According to the specific situation of CAPDI and referring to the way of the line of
business of prospecting or designing establishing modern enterprise system and then
becoming international engineering company. We should make our institute transform
modem enterprise system as a whole. According to the request of modern enterprise
system, we will establish the legal person management structure under communism
market economy. To make it power and duty clear and work coordination and effective
confining. And we will become the legal person and the principal part of independence
management, assuming sole responsibility for its profits or losses, restraint self and
developing self, make state property keep the value and increase in value, take part in
internal and international market competition.
This article explores the program of establishing modern enterprise system of CAPDI.
The author researches the program and practicing the program and property right
diversification and method of staff holding stock and inner management system and the
developing way of international engineering company, In order to help the work of
establishing modern enterprise system.

第一章 引言
1.1 选题意义
我国勘察设计单位长期作为国家行政事业单位存在，在市场经济条件下，
生存与发展受到很大的限制，为改变现状，必须进行体制改革。改制是与国
际规则接轨的客观要求，是自身发展的需要。本论文对中国勘察设计单位的
体制改革工作进行了探讨，对中国航空工业规划设计研究院（以下简称：航
设院）的改企建制工作提出了设想，并对改企建制工作中的一些深层次的问
题进行了分析，期望通过研究，能对航设院改企建制的实际工作及勘察设计
欧亿·体育（中国）有限公司的体制改革工作提供有益的帮助
1.1.1 我国勘察设计单位的现状及目前存在的主要问题
一、产权模糊。随着设计市场的不断深化改革，因产权与经营者关系模
糊（即产权属国家、经营者由政府委任），不利于调动经营管理者和广大设计
人员的经营生产积极性
二、所有制结构单一。目前我国勘察设计咨询欧亿·体育（中国）有限公司国有经济占90%以上，
国有独资占主导局面尚未改变，法人治理结构也未形成。特别是大中型勘察
设计单位，所有制结构单一，既不适应市场经济的需要，也不利于欧亿·体育（中国）有限公司的发
展
三、管理粗放。目前我国勘察设计单位普遍存在管理粗放的问题，与科
学管理还有不少差距，管理不灵活、市场适应性差。主要体现在三个方面：
一是管理机构庞杂、管理层次过多，人浮于事现象比较普遍；二是院本部对
各设计所的指挥协调能力差，有的甚至“以包代管”，集团整体优势发挥不出
来；三是我国勘察设计单位仍沿用传统的行政技术线性生产组织方式，项目
管理水平低
四、技术质量不高。国外设计企业掌握一些高新技术（包括钢结构、超
限高层的设计等等），技术信息比我们要快，许多有名的设计企业都与研究单
位密切挂钩，随时把研究的成果运用到工程上。在质量上，外国公司设计精
细，在细部处理上从各个方面都能保证，而我们在这方面的差距也是很明显
