论文从集团财务管理基础理论出发,通过对国内外相关理论的梳理,以当前
企业集团存在的管理模式利弊权衡为切入点,通过分析昌润集团当前财务管理中
存在的问题,试图构建适合昌润集团发展的财务管理模式,意在完善集团的法人
治理结构、全面预算及风险控制机制,加强集团的资金管理和财务信息管理,以
达到对集团财务的实时监督,对业务的集成控制,合理配置集团资源,充分发挥
集团财务管理的协同作用,促进集团的健康稳定发展。
论文对为什么构建、如何构建并实施适合昌润集团的“集成化”财务管理模
式这一课题的研究具有一定的理论和实践意义。在理论方面,是对财务管理理论
的一次应用和检验;在实践方面,为昌润集团乃至具有类似性质的其他企业集团
完善财务管理模式,促进未来的成长和发展提供了一定的借鉴方法。
企业集团财务管理模式既是一个理论问题,又是一个操作性很强的实践问题,
所涉内容很多,本文所涉及的有关问题仍有待于进一步深入探讨。

ABSTRACT
Changrun Group is a group corporation that is organized by the form that
municipal level state-owned assets operation organization authorized by municipal
government exercise their rights--- assets benefits, vital decisions, managers&39;
selections---for some state-owned assets subordinated to municipal and become stock
participation or stock controlling of the investing corporations through long term stock
investments. The diversification of company legal persons&39; governance structure and
the controlling of companies actually under the managers bring many new questions to
companies&39; financial management. How to regulate legal persons&39; governance structure,
how to deal with the relationships between group centralization and group
decentralization, how to realize the accommodation of fund inner group, how to
strengthen group financial supervision and how to distribute group profits, how to deal
with unequal chances in getting information between parent-subsidiary corporations,
and so on, those are urgent-need-solve problems for Changrun Group.
This paper starts from the theory of financial management, cardings related
theories from home and abroad, especially comments the popular financial management
modes—-centralization, decentralization and integration, analyzes 8 representative
financial management problems and the reasons why they arise and exist, tries to make
clear the construction principles, construction goals and proper financial management
mode of Changrun Group&39;s financial management mode, also finds out the influencing
factors and how to construct and evaluate the mode&39;s operation, all of which are in order
to prompt Changrun Group to build a new financial management mode, improve the
quality and ability of its financial management and lay a foundation for its farther
development.
The arguments&39; process and results in this paper that are why and how to construct
and implement a suitable and distinctive centralization financial management mode in
Changrun Group are meaningful practically and theoretically. In theoretical aspect, it is
the application and inspection of financial management theory. In practical aspect,it is
giving some referential methods that can improve and perfect the corporations&39; financial
management modes and prompt their future growth and development for Changrun
Group and its likings.
The financial management mode of a corporation is not only a theory but also a
practical question with strong operability, involving extensively contents. The questions
argued in this paper still need further investigation.

第一节选题背景、研究目的和意义

昌润集团成立于1994年5月,是市政府批准组建的国有资产营运机构,肩负
着国有资产保值增值、市重点项目建设与投融资的重任。集团母公司通过长期股
权投资为主的形式对所投资的企业达到参股或者控股的目的,随着集团公司投资
业务板块的不断拓展,法人治理结构趋向多元化发展,对集团财务管理模式的发
展构建也提出了新的问题和要求。笔者以所在位财务管理屮存在的诸多问题为
出发点,结合冇关财务管理基础理论,由点及而、丨丨丨表及里,深刻剖析昌润染a
在财务符理模式中所存在的问题,并提出有关解决方案,争取在管理实践中能够
得以实施。
二、研究的目的和意义
本文通过对0前存在的三种企业染团财务11;理模式优缺点进行研究分析,针
对目前1润集团财务管理模式与组织形式的不适应性等具体问题,有选择的对适
合昌润集团发展的财务管理模式进行总结性创新,提出构建“集成化”财务管理
模式的观点。笔者认为,该研究将对呂润集团的发展有着较为重要的实践意义,
同吋为润集团具有类似性质的企业:团财务管理模式选择提供一种参考。研
究有助于提高企业集团综合财务背运能力,优化各成企业的资源配S,增强渠
W1抵御财务风险和经;斤风险的能力,从制度、机制、治理结构和组织形式方而为
润集闭的发展奠定良好的基础,确保丨-V润银闭的长期健康发展。
