高校校办企业是特定历史时期的产物,我国高校校办企业从上世纪50年代初学 习苏联创办实习工厂开始,历经半个多世纪的发展,在国家产业政策的引导下,不断 创造新的历史成绩和社会价值,在弥补高校教育经费不足、改善高校办学条件和促进 高校产学研相结合方面做出了突出贡献,同时在促进国家高新技术产业发展、推动国 家经济增长等方面发挥了重要作用。 在我国社会主义市场经济不断向前发展的大背景下,面临新的经济运行体制,高 校校办企业在迅速发展的同时,也面临着产权不明、事企不分、法人治理结构不完善、 激励机制弱化、财务管理混乱、监管缺位等众多问题,高校和企业之间仍然是事业单 位式的上下级关系,高校依然对校办企业承担无限责任风险,一旦企业经营出现问题, 所有的责任都将由高校承担。为了避免这种状况的发生,就必须尽快改制校办企业的 经营模式,选取和运用恰当的管理体制来搭建高校和企业之间的桥梁,规避高校直接 经营企业的潜在风险。 本文运用文献研究法、调查访谈法、综合分析法等方法,以相关理论为指导,对 HG大学校办企业管理体制改革进行研究。针对HG大学校办企业发展过程中存在的主 要问题,以尊重教育规律和市场经济规律为出发点,对现有校办企业进行实地调研, 实事求是、突出问题导向,整体谋划、因企制宜,通过清理关闭、脱钩剥离、保留管 理、集中监管等方式对校办企业分类实施改革。通过校办企业改制工作,理顺HG大 学和其校办企业的关系,将校办企业中的经营性资产及学校用于企业经营运作的非经 营性资产全部划归到资产经营公司管理,HG大学只对资产经营公司承担有限责任,有 效规避HG大学直接经营企业的潜在风险,促进学校经营性资产规范运营,在管理体 制和经营机制上赋予校办企业新的活力,促使校办企业在市场经济体制下健康发展。 同时,希望本文的研究能够为高校校办企业管理体制改革和发展模式提供有价值的参 考。 关键词:校办企业;管理体制改革;现代企业制度 II ABSTRACT University-run enterprises are the products of a specific historical period. Since the beginning of the 1950s, the College-run enterprises in China began to learn from the Soviet Union to set up internship factories. After the development of more than half a century, they have continuously achieved new historical achievements and social values under the guidance of the national industrial policy. They have made up for the shortage of education funds, improved the educational conditions and promoted the combination of production, teaching and research in universities. Meanwhile, they have played an important role in booming the national high-tech industry and economy. With the development of China’s market economy, the university-run enterprises gains momentum from the updated economic system. However, there are still many deep-seated problems, such as unclear property rights, confusion between enterprises and public institution, incomplete corporate governance structure, weak incentive mechanism, chaotic financial management and absence of supervision. The relations between universities and enterprises are still superior and subordinate, which means universities still bear the unlimited liability risks to the College-run enterprises. When things go wrong, universities have to bear all responsibilities. To avoid such problems, university-run enterprises are essential to reform the business model. Besides, it is necessary to build a bridge between universities and enterprises. By theses means, some of the potential risks may be avoided. This paper intends to adopt methods of literature research, survey interview and comprehensive analysis to study the reform of HG University management system based on the guidance of relative theories. Aiming at the main problems in the development of HG University, this paper investigates the existing University-run enterprises. Based on field researches, the paper thinks that these enterprises should maintain problem oriented and make integrate planning. Relevant departments should strengthen supervision and clear unqualified enterprises. Through the restructuring of university-run enterprises, the relationship between schools and enterprises is straightened out. The operational assets of school-run enterprises and the non-operational assets for enterprise operation can be all transferred to asset management Company. In this way, HG University only takes limited liability. Therefore, it can effectively avoid the potential risk of HG University in directly III managing enterprises, promote the school operational assets to operate properly, and inject new vitality to management systems and operational mechanism in order that university-run enterprises can healthily develop in the market economy system. At the same time, the author hopes that the research in this paper can provide a valuable reference for the reform and development patterns of the management mechanism of university-run enterprises.
