随着企业集团的发展壮大，集团总部对下属企业的管控问题就成为影响企业
集团高质量发展的一大因素。国有企业在兼并重组过程中逐渐趋向集团化发展，
如果不采取强力的管控措施，企业发展有可能会出现战略落实不到位、投资管控
不力、风险防控滞后等问题。国有企业集团作为成员企业的母公司，加强管控能
力建设有助于实现集团整体效应最大化。
本文研究了集团管控相关文献，梳理了集团管控、集团管控体系等相关概念
与理论，并以 GK 集团为研究对象，将相关管控理论运用到对集团管控现状的分
析中。通过对 GK 集团基本情况、业务布局、发展战略、经营情况等进行研究，
结合查阅的相关欧亿·体育（中国）有限公司，经访谈和专家咨询归纳总结出该集团存在的战略管控职能
发挥不充分、投资管控不到位、风险防控能力较弱、财务管理水平较低、经营指
导专业性不足、考核评价流于形式等问题，并分析了原因。在此基础上对该集团
管控体系优化提出了对策，明确了优化的目标、原则和思路，将集团总部定位为
战略管控与投资决策中心、人力资源配置中心、资本资金管控中心和风险防控中
心，建立管控权责清单，并强化战略、投资、财务、经营、考核、风控等措施，
提升集团的管控能力。此外，还从成立工作推进机构、完善法人治理结构、推进
企业文化建设、提高管控信息化水平等方面提出了保障措施，以便建立“管控适
度、责权明确、风险可控、自主高效”的集团管控体系。
本文在研究过程中充分考虑了 GK 集团转型发展实际，借鉴了国内企业集团
管控的经验做法，从不同管控链条强化了管控力度，以期能够为同类型的国有企
业集团增强管控能力提供参考。

IAbstract
With the growth of the group, the management and control of affiliates by the
group headquarters has become a major factor affecting the high-quality development
of the group. In the process of merger and reorganization, state-owned enterprises
gradually developed to the size of a group. If strong control measures are not taken,
there may be some problems, such as deviation in strategy implementation, poor
investment control, lagging behind in risk prevention and control, etc. As the parent
firm, strengthening management and control to subsidiaries, will help to maximize the
overall benefits.
This thesis studied the literature related to group control, the theories related to
enterprise groups, group management and control system were elaborated. Taking GK
Group as the subject, the relevant theories were applied to the analysis of the current
situation of group management and control. Based on the comprehensive analysis of
GK Group;s basic situation, business layout, development strategy and operation
status, combined with the relevant papers, interviews and expert consultation, it was
concluded that GK group had some problems, such as insufficient strategic control
function, inadequate investment control, weak risk prevention and control ability, lax
financial control, extensive operation control and inefficient performance evaluation,
etc., and analyzed the reason. Based on this, put forward the countermeasures, the
objectives, principles and ideas of optimization had been clarified. The group
headquarters was positioned as the strategic control and investment center, human
resources disposition center, capital control center and risk prevention and control
center. Established a list of rights and responsibilities, and strengthen strategies,
investment, finance, operation, assessment, risk control and other measures to
improve the group;s control capacity. In addition, to set up work promotion
institutions, improve the corporate governance structure, promote enterprise culture
construction, improve the level of information management and control and other
aspects of the safeguard measures. In order to establish "appropriate control, clear
responsibilities and rights, controllable risks, independent and efficient" group
IImanagement and control system.
This article fully considered GK;s transformation and development practice,
borrowed the experience of management and control of domestic enterprise groups.
Strengthened control from different control chains, hope to provide reference for the
same type of state-owned enterprise groups to enhance management and control
capacity.
