随着全球经济一体化时代的到来,企业所面临的国内、国际竞争压力都在不断增大,

各种不确定性因素也在日益增多,企业所面临的各种风险也更加复杂和多样。企业的风

险管理活动通过对风险识别、分析和评价,并制定控制活动,用当下最经济合理的方法进

行风险管理,以实现最大的安全保障。在此形势下建立并完善SGDL公司全面风险管理

体系己成为当务之急。

本论文以内部控制、风险和风险管理为理论基础,主要对SGDL公司现有风险管理

进行了分析,找出了根本问题并对问题产生的原因进行了分析。再对SGDL公司基于内

部控制的风险管理体系构建方案进行了设计,从建立风险管理体系的前期基础条件,即

风险管理目标、组织机构、专业团队和文化氛围四个方面进行了界定;再在此基础上,

从风险管理体系建立的总体步骤出发,要求首先制定风险管理体系的总体工作规划,即

落实SGDL公司的风险“有人在管理和“时时都在管”以及建立风险管理标准,保证

SGDL公司的风险管理体系有效运行;在总体工作规划的指导下,主要通过风险识别和

分类形成风险清单;再在风险清单的基础上,建立内部控制体系;在内部控制制度体系

建成的基础上,落实风险管理责任;为保证风险管理责任落到实处,需要制定一套全面、

立体的制度体系,以防止风险管理工作走过场,走形式;最后再在制度保障的前提下形

成风险管理动态循环系,以形成风险管理的长效运行机制。随后又提出了风险管理体系

的实施保障措施,包括平稳过渡的原则、组织推进机构、考核激励机制、风险管理文化

和信息系统建设;最后对SGDL公司风险管理体系构建方案进行了总结,并提出了对未

来的展望。通过以上工作,初步建立了符合SGDL公司战略需要的、比较科学、完善的

风险管理体系。

本文探讨SGDL公司基于内部控制的风险管理体系的构建问题,目的是将风险管理

融入企业生产经营的各个环节,真正将风险管理体系从体系建设、运行和自我完善各环

节落到实处,以提高公司风险管理水平,最终形成系统、有效的全面风险管理体系。

As the era of global economic integration, enterprises are facing increasing

competitive pressure, and various uncertain factors are raising gradually, so

enterprises are facing all kinds of risk. In order to achieve the maximum

security, risk management apply the most reasonable method through the

analysis of risk identification, measurement, and effective control of risk. The

establishment and improvement of risk management system of SGDL has

become a pressing matter in the situation.

The paper mainly has analyzed the fundamental problem of the existing

risk management of SGDL based on the internal control, risk and risk

management theory, and found out and the causes of the problem .Then plan to

construct the risk management system of SGDL based on the internal control,

and to design the basic condition of the establishment of risk management

system, that is the risk management objectives, organization, professional team

and culture four aspects; To ensure the effective operation of the risk

management system of SGDL ,the overall work planning for the first to

establish risk management system is the implementation of the risk of SGDL

people management and always in the tube and the establishment of risk

management standards. The next step is to form the risk list through risk

identification and classification in the overall work planning guidance. And then

to establish the internal control system based on risk list. Next step is to carry
